Acceptance of Terms
By accessing, browsing, registering for, or using the Popuppt platform, website, applications, and services (“Platform”), you agree to be legally bound by these Terms and Conditions and Popuppt’s Privacy Policy. If you do not agree, you may not use the Platform.
Description of the Platform
Popuppt is an online marketplace and directory that connects clients with independent Physical Therapists, Occupational Therapists, Speech Therapists, Mental Health Counselors, and Personal Trainers (“Service Providers”) who offer services, educational content, and digital products directly to clients. Popuppt does not provide medical care, therapy, diagnosis, treatment, or professional advice of any kind.
Independent Contractor Relationship
All Service Providers listed on Popuppt are independent contractors and not employees, agents, partners, joint venturers, or representatives of Popuppt. Popuppt does not supervise, direct, or control provider services, clinical decisions, pricing, or outcomes. Each provider is solely responsible for their own conduct, licensure, insurance, tax obligations, and legal compliance.
Provider Eligibility and Licensing
Service Providers represent and warrant that they hold all required licenses, certifications, permits, and professional credentials necessary to provide services in their jurisdiction and that such credentials remain active and in good standing. Popuppt verifies credentials but does not guarantee their validity or ongoing compliance and reserves the right to suspend or terminate any account for falsified or misleading information, with or without notice.
No Provider–Patient Relationship
Use of the Platform does not create a provider–patient, therapist–client, fiduciary, or medical relationship between Popuppt and any user. Any professional or therapeutic relationship exists solely between the client and the Service Provider.
Client Responsibilities
Clients are solely responsible for evaluating the qualifications, experience, and suitability of Service Providers before engaging in services. Popuppt does not guarantee results, outcomes, or satisfaction and makes no representations regarding the quality or effectiveness of any services offered through the Platform.
Fees, Payments, and Commissions
Service Providers must pay a non-refundable monthly listing fee of $50 USD to maintain an active account and to have a HIPPA compliant virtual communication platform included in there membership, named ZOOM Healthcare. For Service Providers that wish to use another HIPPA compliant virtual communication platform must pay a non-refundable monthly listing fee of $40 USD to maintain an active account. Additionally, Popuppt retains a 20% commission on eligible sales of digital products, courses, and non-session services sold through the Platform, with the remaining 80% paid to providers, after applicable transaction or processing fees. Payments and payouts are processed through third-party payment processors and are subject to their terms and conditions.
Refunds and Disputes
Monthly membership fees are non-refundable. Popuppt does not issue refunds for provider services or digital products. Any refund requests or service-related disputes must be resolved directly between the client and the Service Provider, though Popuppt may, at its sole discretion, assist in facilitating dispute resolution.
HIPAA and Health Information
Popuppt is not a HIPAA-covered entity and does not store, transmit, or process Protected Health Information (PHI). Users agree not to share health-related or confidential medical information through Platform messaging. All health-related communications must occur outside the Platform using HIPAA-compliant tools, and Service Providers are solely responsible for maintaining HIPAA compliance and protecting client data.
Content and Intellectual Property
Users are solely responsible for all content they upload or share on the Platform and represent that such content is original, properly licensed, and compliant with applicable laws. Popuppt reserves the right to remove any content or account at its discretion for violations of these Terms or applicable laws.
Platform Availability and Modifications
Popuppt may modify, suspend, or discontinue any aspect of the Platform at any time without notice and is not responsible for service interruptions, data loss, or downtime resulting from third-party services or technical issues.
Limitation of Liability
To the maximum extent permitted by law, Popuppt shall not be liable for any direct, indirect, incidental, consequential, or special damages, including but not limited to injury, illness, emotional distress, death, financial loss, malpractice, negligence, misrepresentation, or dissatisfaction arising from the use of the Platform or services obtained through it.
Indemnification
You agree to indemnify, defend, and hold harmless Popuppt, its founder, employees, and affiliates from any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of your use or misuse of the Platform, your interactions with other users, or your violation of these Terms or applicable laws.
Dispute Resolution and Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall be resolved through binding arbitration on an individual basis, and you waive any right to participate in class actions or jury trials.
Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the the State of which you are licensed or provide services in.
Termination
Popuppt reserves the right to suspend or terminate any account or access to the Platform at any time, with or without cause or notice, and without liability.
Modifications to Terms
Popuppt may update or modify these Terms and Conditions at any time. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
Final Acknowledgment
By using Popuppt, you acknowledge and agree that Popuppt acts solely as a marketplace, that Service Providers are independent contractors, that Popuppt is not responsible for service outcomes or user conduct, and that you release Popuppt from liability to the fullest extent permitted by law. If you do not agree to these Terms, you must discontinue use of the Platform.
